Terms of Service

1. Acceptance

By accessing or using YayHooray ("the Site"), you agree to these Terms of Service. If you do not agree, do not use the Site.

2. Private, Members-Only Community

YayHooray is a closed, invitation-and-approval-only community. Access is restricted to members who have been individually approved by existing community members or administrators. Anyone who is not a logged-in approved member is denied access to forum content by design.

All content posted to the Site — including threads, comments, direct messages, attachments, screenshots, audio, video, and any metadata visible only to logged-in members — is considered members-only confidential material shared into a private community. The reasonable expectation of every member when posting is that the audience is limited to other approved members. Posting is conditional on the community remaining closed and confidential.

By using the Site, you affirm that you understand it is not a public forum and you agree to treat all forum content as confidential community material accordingly.

3. Content Rights & License

By posting content to the Site, you grant YayHooray a perpetual, worldwide, royalty-free, irrevocable, sublicensable, and exclusive license to host, display, archive, preserve, and enforce the rights in that content as part of the Site, including after you delete your account. You retain a non-exclusive personal license to use your own contributions for personal, non-commercial purposes outside the Site.

YayHooray's exclusive license includes, without limitation, the exclusive right to authorize external reproduction, distribution, broadcast, performance, derivative works, and commercial exploitation of forum content. Members agree they have NOT retained these rights and therefore cannot grant permission to third parties.

4. Prohibited External Use of Forum Content

You may NOT reproduce, rebroadcast, livestream, screenshot, paraphrase, narrate, monetize, or otherwise derive any work from YayHooray content — your own posts or anyone else's, and whether or not you alter, summarize, or transform it — on any external platform without prior express written consent from YayHooray administrators. This prohibition includes, but is not limited to:

  • YouTube videos, livestreams, shorts, premieres, and channel content of any kind that quote, screenshot, narrate, paraphrase, or react to forum content
  • Podcasts, audio shows, paid newsletters, Substacks, blogs, or any written or audio content that reproduces or describes forum material
  • Monetized social media accounts (those earning revenue from views, ad-sharing, sponsorships, subscriptions, tips, affiliate links, NFTs, or any other revenue mechanism) sharing, quoting, or summarizing forum material
  • Compilation videos, "drama channel" segments, commentary or "reaction" content built around forum threads, users, or screenshots
  • Republishing forum content in books, articles, academic papers, datasets, AI training corpora, or any other reproduction medium
  • Using any forum member's username, handle, posted likeness, or distinguishing characteristics in external content (right of publicity protection)

Because forum content is members-only confidential material (see §2), no fair use defense applies to external reproduction. Members agreed to confidentiality on entry; reproduction outside the membership is a breach of that confidentiality regardless of commentary, criticism, or transformative purpose.

Sharing a YayHooray URL with another approved YayHooray member is permitted. Nothing else is.

5. Enforcement, Remedies, and Damages

Violation of §3 or §4 entitles YayHooray to all available legal and equitable remedies, including but not limited to:

  • Immediate account termination and permanent IP, fingerprint, and device ban from the Site, at administrator discretion and without prior notice
  • DMCA takedown notices on any infringing upload, filed directly by YayHooray under its exclusive license
  • Cease-and-desist demands directed at the violator and any platform hosting infringing material
  • Liquidated damages of USD $5,000 per violation per piece of forum content reproduced (each video, each post, each podcast episode, etc.), which the parties acknowledge is a reasonable pre-estimate of harm to a closed community of difficult-to-quantify damages
  • Actual damages (lost goodwill, member churn, administrator time, mitigation costs) in addition to, or in lieu of, liquidated damages
  • Recovery of all reasonable attorneys' fees, court costs, and expert fees incurred in enforcement
  • Injunctive relief, including emergency and preliminary injunctions, which the violator expressly stipulates is appropriate because forum content cannot be "unseen" once externally distributed and money damages alone are inadequate
  • Referral of repeated or willful violations to law enforcement where applicable

These remedies are cumulative and not exclusive. Election of one remedy does not waive any other.

6. Prohibited Content

You agree not to post content that:

  • Violates any applicable law or regulation
  • Contains or distributes illegal material of any kind
  • Infringes on the intellectual property rights of others
  • Contains malware, phishing links, or other malicious code
  • Constitutes harassment, threats, or doxxing of any individual
  • Uses the voting, reputation, reporting, or any other Site feature to harass, target, retaliate against, or coordinate a pile-on against another member

7. Moderation & Removal

Volunteer moderators may remove content or suspend accounts at their discretion for violations of these terms. Decisions are final. The Site is under no obligation to host any particular content or provide a platform to any particular user.

Members may not use Site features — including downvotes, reports, or reputation mechanics — as a substitute for moderation or as a means to punish, retaliate against, or coordinate against another member. Vote manipulation, including self-voting, sockpuppet or alt-account voting, and coordinated brigading, is prohibited. Enforcement of community standards is reserved to the volunteer moderators, whose decisions are final; members who take moderation into their own hands through Site mechanics may themselves face removal or suspension.

8. No Warranty

The Site is provided "as is" without warranty of any kind. The volunteer operators make no guarantees regarding uptime, data preservation, or availability.

9. Limitation of Liability (for Site Operators)

The Site is operated by volunteers. To the fullest extent permitted by law, the Site's operators, moderators, and contributors shall not be held liable for any damages arising from the use of the Site or any content posted by its users. You use the Site at your own risk.

10. Indemnification

You agree to indemnify, defend, and hold harmless YayHooray, its operators, moderators, volunteers, and other members from any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to: (a) your use of the Site; (b) any content you post; (c) your violation of these Terms, including any breach of §3 or §4; and (d) any external reproduction of forum content attributable to you. This indemnification obligation survives termination of your account.

11. Governing Law & Venue

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles. Any dispute arising out of these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in California, and you consent to personal jurisdiction in those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

12. Privacy

The Site collects only the information necessary to operate (account credentials, session data, IP addresses, browser fingerprints, and persistent device identifiers for abuse prevention and member-account-linking analysis). We do not sell user data. Cookies are used for session management and abuse prevention. Members understand that account and device-linkage data may be used to enforce these Terms, including identifying alt accounts and tracing external reproduction back to its source.

13. Changes

These terms may be updated at any time. Continued use of the Site after changes constitutes acceptance of the revised terms.

14. Severability

If any provision of these Terms is held unenforceable, that provision shall be enforced to the maximum extent permitted, and the remaining provisions shall remain in full force and effect.
